The WEBSITE TERMS OF USE (“TOU”) is a legal agreement between you (in your individual capacity or the entity or entities on whose behalf you are accessing and using the Websites (as defined below), as applicable ) (“you” or “your”) and Uniti Group Inc. or the applicable Uniti Group Inc. subsidiary and/or affiliate associated with the Websites (“Uniti” or “us” or “we”). Your access to and use of Uniti website located at https://uniti.com/, and its associated web pages, and the services available on those web pages, (collectively, the “Websites”) is subject to, and governed by, the TOU. Be sure to carefully read and understand all of the rights and restrictions delineated in the TOU. By accessing the Websites, you confirm your agreement to and acceptance of the TOU. IF YOU DO NOT ACCEPT THE TOU, YOU SHOULD NOT USE OR ACCESS THE WEBSITES OR ANY SERVICES THEREON. Uniti reserves the right to update the TOU at any time without notice to you. You may view the current applicable version of the TOU at any time by clicking on the applicable TOU link at the bottom of each Websites page. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, CERTAIN UNITI WEBSITES INCLUDING, BUT NOT LIMITED TO PASSWORD(S) PROTECTED WEBSITES, MAY CONTAIN TERMS OF USE IN ADDITION TO, OR DIFFERENT FROM THE TOU AND IN SUCH CASE THE TERMS OF USE POSTED ON SUCH WEBSITES SHALL SUPERSEDE THE TOU AND GOVERN.

1. Access.

1.1. Uniti reserves the right to take any action it deems appropriate, including but not limited to termination or suspension of your access to the Websites, without notice or liability, for any conduct that Uniti, in its sole discretion, believes is in violation of the TOU or any applicable law or regulation or is harmful to the interests of another user, a third-party provider, a service provider or Uniti. Uniti makes no representation that the information contained in the Websites is appropriate or available for use throughout the world. It is forbidden to access the Websites from territories where applicable legislation provides that the content or use of the Websites is illegal. You choose to use the Websites at your own risk and on your own initiative, and it is your responsibility to ensure that you conform to all applicable local laws and regulations.

1.2. Restrictions. Without limiting the generality of the foregoing, you acknowledge that Uniti expressly prohibits and you agree not to: (a) use the Websites (including by posting Third Party Content), in a manner that is actually or potentially false, inaccurate, misleading, libelous, defamatory, threatening, harmful, abusive, harassing, discriminatory, hateful, vulgar, sexually-oriented, indecent, obscene, otherwise objectionable, in violation of any third party intellectual property rights (including, without limitation, the infringement of any copyright, trademark, trade secret or other intellectual property right of others) or privacy rights of any person, or is otherwise unlawful under any applicable law or regulation; (b) misrepresent an affiliation with, or otherwise impersonate, any person or organization; (c) download a file or software or include on the Websites any content, software, files or links that you know, or have reason to believe, cannot be distributed legally over the Websites; (d) harass, stalk or otherwise subject any other user of the Websites to unwanted and/or inappropriate contact; (e) post, transmit or make “spam,” unsolicited messages or communications, including mail, e-mail, phone calls, texts or faxes, and/or advertise or tele-market any products or services either by directly posting on the Websites or by making unsolicited contact with any user via email, telephone, text, postal mail or any other method of communication; (f) advocate illegal activity or discuss an intent to commit an illegal act; (g) take any action to circumvent or attempt to circumvent the security and access control measures of the Websites; (h) make any changes, additions and/or deletions to any of the Third Party Content posted by any user without the express written authorization of such other user; (i) include any misleading, irrelevant and/or hidden keywords in any Third Party Content posted by you; (j) frame or link to the Websites any of the content or information available from the Websites unless Uniti expressly consents in writing to such linking and/or framing; (k) intentionally expose the Websites to any computer virus, corrupted data, or any other program or code intended to disrupt or disable operation of the Websites; (l) use any robot, spider or other program or device to retrieve or index any portion of the Websites; (m) harvest or otherwise collect information about other users for any purpose other than use of the Websites as expressly permitted herein; (n) distribute, reproduce, duplicate, copy, transfer, modify, license, sell, trade, or resell any content, unless Uniti expressly agrees otherwise in writing; (o) use any trademark, service mark, trade name, or logo of any company or organization in conjunction with the Websites in a manner that is likely or intended to cause confusion about the owner or authorized user of such mark, name, or logo; or (p) engage in any other conduct that (1) restricts, prevents or inhibits anyone’s use or enjoyment of the Websites, or which, as determined by Uniti, may harm Uniti or users of the Websites or expose them to liability; (2) interferes with, disrupts, disables, damages, or overburdens the Websites or associated servers, networks, or software; or (3) damages any Uniti or third party property, information or software, including, without limitation, Uniti’s confidential information and Third Party Content.

2. Intellectual Property.

2.1. Copyright. Uniti, its suppliers or the original creator of the material own all copyrights to material on the Websites and all other intellectual property rights related to the Websites. To the extent that Uniti has the right to do so without compensation to third parties, and except for material specifically provided under other terms, Uniti grants you permission to copy materials on the Websites solely for your non-commercial use in support of Uniti products or services. You agree that any copies of material shall retain all copyright and other proprietary notices in the same form and manner as the original. You may not, without Uniti’s permission, “mirror” any material contained on the Websites or any other server. All rights not expressly granted are reserved by Uniti and, except as specified above, nothing contained herein shall be construed as conferring by implication, estoppel or otherwise any license or right under any trademark, patent, copyright, mask work protection right or any other Intellectual Property right of Uniti or any third party. “Intellectual Property ” means any and all: (i) rights associated with works of authorship throughout the world, including but not limited to copyrights, neighboring rights, moral rights, and maskworks, (ii) trademark and trade name rights and similar rights, (iii) trade secret rights, (iv) patents, algorithms, designs and other industrial property rights, (v) all other intellectual and industrial property rights (of every kind and nature throughout the world and however designated) whether arising by operation of law, contract, license, or otherwise, and (vi) all registrations, initial applications, renewals, extensions, continuations, divisions or reissues thereof now or hereafter in force (including any rights in any of the foregoing). You acknowledge and agree that you are expressly prohibited from using any materials found on this Websites to the detriment of Uniti in any type of patent infringement proceeding. Your failure to comply with this prohibition constitutes copyright infringement of the materials at issue. Each instance of noncompliance with this prohibition constitutes a separate instance of infringement, and subjects you to a payment obligation in the amount of $150,000 USD per infringement, as liquidated damages and not as a penalty.

2.2. Trademarks. Uniti and the Uniti logo are trademarks or service marks, registered or not, of Uniti. Nothing in the Websites may be interpreted to grant to you, directly or indirectly, the use of a trademark or service mark reproduced on the Websites, whether belonging to Uniti or third party suppliers, without the prior written permission of Uniti. All other trademarks are the property of their respective owners.

2.3. It is Uniti’s policy to respond to notices of alleged copyright or trademark infringement that comply with applicable international intellectual property law (including, without limitation, in the United States the Digital Millennium Copyright Act) and, where appropriate and at Uniti’s sole discretion, to terminate the accounts or subscription of repeat infringers. If you would like to send Uniti an alleged copyright or trademark infringement notice as it pertains to the Websites, please submit a notice with the subject line “Copyright/Trademark Infringement Notice,” and with following information via email at legal@uniti.com (or such successor email address as designated by Uniti) or if you have trouble sending an email to the above email address, then you may contact Uniti for further information at 501-850-0820. Such notice must contain: (a) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by this single notification, a representative list of such works at the site; (b) the URL of the website(s); (c) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to locate the material; (d) your contact information, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted; (e) include a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; (f) include a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; and (g) sign the letter and submit to the email above or by post to Uniti Group Inc., Attn: Legal Department, 10802 Executive Center Drive, Suite 300, Little Rock, Arkansas 72211 USA. Uniti or its suppliers may, in appropriate circumstances and at its discretion, do the following: a) disable and/or terminate the accounts of users who may be infringing the intellectual property rights of others; and/or b) remove content which infringes the intellectual property rights of others.

3. Communications and Information Provided to Uniti.

3.1. Uniti does not want you to, and you should not, send or post any confidential or proprietary information to Uniti via the Websites (including via submission of an email, chat message, filling out a service request or any other method of submission or posting). Unless otherwise agreed to by Uniti in writing, any submission or posting of Third Party Content or the like by you to Uniti or the Websites shall be deemed to be non-proprietary and non-confidential, and you otherwise grant Uniti an unrestricted, nonexclusive, worldwide, royalty-free, irrevocable, transferable license to (in any media now known or not currently known or invented) under any and all of your Intellectual Property rights to record, link to, use, copy, duplicate, reproduce, display, perform, modify, transmit, distribute, make, have made, sell, and/or otherwise exploit any and all such Third Party Content or derivative works thereof and to sublicense those rights through multiple tiers of sublicensees. Notwithstanding anything herein to the contrary, you hereby assign to Uniti all right, title and interest worldwide in all Intellectual Property rights in and to any new feature improvement or idea that you may suggest, post or submit to Uniti relating to Uniti or third party products, services or Websites (collectively, “Feedback”), and you acknowledge and agree that Uniti shall be free to use any ideas, concepts, know-how or techniques contained in such Feedback for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products, services or Websites incorporating such information.

3.2. Third Party Content. “Third Party Content” means, collectively: (a) content and information licensed by Uniti from third parties for display, access, use or download via the Websites, and (b) questions, comments, suggestions, content, information, material, software, including in partial or complete form or in source code or binary object code format, or the like posted, uploaded or submitted to the Websites by you or other third party users of the Websites. Some Third Party Content may be licensed by Uniti for use on the Websites. Such Third Party Content shall be subject to the license set forth above unless otherwise agreed to in writing by Uniti or such Third Party Content indicates that it is subject to other terms, in which case such other terms shall apply. You acknowledge that you are solely responsible for the Third Party Content you post to the Websites and that you, and not Uniti, will have full responsibility for the Third Party Content you post, including its legality, reliability, appropriateness, originality and copyright. By posting any Third Party Content to the Websites that contains images, photographs, pictures or that are otherwise graphical in whole or in part (“Images”), you warrant and represent that (i) you are the copyright owner of such Images, or that the copyright owner of such Images has granted you permission to use such Images or any content and/or images contained in such Images consistent with the manner and purpose of your use and as otherwise permitted by the TOU, (ii) you have the rights necessary to grant the licenses and sublicenses described in the TOU, and (iii) that each person depicted in such Images, if any, has provided consent to the use of the Images as set forth in the TOU, including, by way of example, and not as a limitation, the distribution, public display and reproduction of such Images. No compensation will be paid with respect to the use of your Images. Uniti reserves the right to pre-screen, refuse, flag, filter, or remove any Third Party Content posted on the Websites, including any of your Third Party Content, which Uniti, in its sole discretion, deems inconsistent with the TOU, including any Third Party Content Uniti has been notified or has reason to believe constitutes intellectual property infringement. Notwithstanding any other provision in the TOU, Uniti may take any such action(s) without notice or liability to you or any other party, although Uniti will have no obligation or responsibility to take any such action or review Third Party Content that is posted on the Websites. Accordingly, Uniti assumes no liability for any action or inaction regarding transmissions, communications, or content provided by you or any third parties. UNITI DISCLAIMS ALL WARRANTIES WITH REGARD TO THIRD PARTY CONTENT, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

3.3. Information provided by you via the Websites, including by written or oral communications or other electronic means, may be recorded for quality assurance, diagnostic and training purposes. By submitting information using the Websites, you consent to such recordation and usage as described in Section 3.1, above.

3.4. Any personal data provided by you will be treated as set forth in Section 12 below.

4. Contact Methods, Consent and Opt-Out.

4.1. Agreement to calls and information sharing. You agree that if you submit an inquiry to Uniti through the Websites, we may share the information that you provide, including but not limited to your full name, email address, telephone number, and company name, with our affiliates or partners so that they may respond to your inquiry. You authorize Uniti to share your information with affiliates and partners to respond to your inquiry and otherwise provide you information regarding Uniti and its products and services. YOU REPRESENT AND WARRANT THAT THE INFORMATION YOU SUBMIT, INCLUDING BUT NOT LIMITED TO THE TELEPHONE NUMBER, IS FOR A COMMERCIAL BUSINESS AND NOT FOR A RESIDENCE.

4.2. Consent to Method of Contact. By submitting your contact information and request for information regarding Uniti products and services, you are consenting to be contacted by Uniti or one of its affiliates or partners by telephone (on a recorded line), automated calling, pre-recorded calling, text message, email, fax, telephone or any means, even if you have opted in to the National Do Not Call List, any state equivalent Do Not Call List or the internal Do Not Call List of any company to deliver telemarketing messages. You understand that your agreement to be contacted via these methods is not a condition of purchasing any Uniti products or services. You understand that Uniti and its affiliates and partners may maintain the information you submitted to us even if you decide not to use Uniti’s products and services.
In the event you no longer want to receive communications from an Uniti affiliate or partner, you agree to notify the affiliate or partner directly. You can opt-out of various contact methods by submitting a request via postal mail to: Legal Department, Uniti Group Inc. 10802 Executive Center Drive, Suite 300, Little Rock, Arkansas 72211 USA.

5. Links. THE LINKS ON THE WEBSITES MAY LET YOU LEAVE UNITI’S WEBSITES. THE LINKED SITES ARE NOT UNDER THE CONTROL OF UNITI AND UNITI IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES. UNITI IS NOT RESPONSIBLE FOR WEBCASTING OR ANY OTHER FORM OF TRANSMISSION RECEIVED FROM ANY LINKED SITE. UNITI IS PROVIDING THESE LINKS TO YOU ONLY AS A CONVENIENCE, AND THE INCLUSION OF ANY LINK DOES NOT IMPLY ENDORSEMENT BY UNITI OF THE SITE. YOUR USE OF ANY LINKED SITE IS AT YOUR OWN RISK AND IS SUBJECT TO THE TERMS OF USE AND PRIVACY POLICIES LOCATED ON SUCH SITE.

6. Product or Services Availability. The availability of the products or services described on the Websites, and the product or service descriptions, may vary from location to location, and Uniti does not guarantee any particular product or service availability in any particular location.

7. Export of Information. The United States Export Controls laws prohibit the export of certain technical data and software to certain territories. No content from the Websites may be downloaded or otherwise exported in violation of United States law or any other local law from where you may be accessing the Websites. You agree to comply with all United States and foreign Federal, State and local laws and regulations applicable to the use of the Websites. Users residing in countries on the United States Office of Foreign Assets Control sanction list, or who are a foreign person or entity blocked or denied by the United States government, may not post or access information or content available through the Websites. You warrant and represent that you are not residing in a country on the United States Office of Foreign Assets Control sanction list or are a foreign person or entity blocked or denied by the United States government when posting or accessing information or content available through the Websites.

8. Limitation of Liability. TO THE EXTENT PERMITTED BY APPLICABLE LAW, UNITI, ITS RELATED COMPANIES, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS, PARTNERS, LICENSORS OR SUPPLIERS MAY NOT, UNDER ANY CIRCUMSTANCES BE HELD LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF (OR THE INABILITY TO USE) THE WEBSITES OR ANY MATERIAL ON THE WEBSITE, INCLUDING BUT NOT LIMITED TO THIRD PARTY CONTENT. THIS LIMITATION OF LIABILITY INCLUDES, BUT IS NOT LIMITED TO, WHETHER AS A RESULT OF DIRECT OR INDIRECT DAMAGES, THE LOSS OR CORRUPTION OF DATA, INFORMATION OF ANY KIND, BUSINESS OR PROFIT OR ANY OTHER COMMERCIAL LOSS, EVEN IF UNITI WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT FOR PERSONAL INJURY CLAIMS AND WILLFUL MISCONDUCT, IN NO EVENT SHALL UNITI’S TOTAL LIABILITY TO YOU IN CONNECTION WITH, ARISING OUT OF OR RELATING TO THE TOU OR THE WEBSITES EXCEED ONE HUNDRED DOLLARS ($100). THE PARTIES AGREE THAT THE LIMITATIONS SPECIFIED IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY PROVIDED IN THE TOU IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. THIS SECTION WILL ALSO APPLY TO ANY LIABILITY OF UNITI’S RELATED COMPANIES, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS, PARTNERS, LICENSORS AND SUPPLIERS.

9. Assignment. The TOU may not be assigned or transferred by you without the prior written consent of Uniti. Uniti may assign the TOU to any affiliate or third party in part or in whole.

10. Disputes.

10.1. Governing Law; Waiver of Jury and Class Action. The Websites are managed from Uniti’s corporate headquarters in Little Rock, Arkansas. The TOU and any dispute, claim or controversy directly or indirectly arising out of or relating to the TOU, the Websites, or the use thereof (collectively, “Dispute”), including without limitation those relating to the formation, interpretation, breach or termination of the TOU, will be governed by the laws of the State of Arkansas, excluding conflict of law principles, and the United Nations Convention on Contracts for the International Sale of Goods. If any provision of the TOU is determined to be unenforceable or invalid, the TOU will not be rendered unenforceable or invalid as a whole, and the provision will be changed and interpreted so as to best accomplish the objectives of the original provision within the limits of applicable law. The failure to assert any rights under the TOU, including, but not limited to, the right to terminate in the event of breach or default, will not be deemed to constitute a waiver of the right to enforce each and every provision of the TOU in accordance with their terms. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND UNITI UNCONDITIONALLY AGREE THAT ALL DISPUTES MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS UNITI AGREES OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S DISPUTES. THE PARTIES AGREE THAT, BY ENTERING INTO THIS TOU, YOU AND UNITI ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.

10.2. Dispute Resolution. Any Dispute will be resolved in accordance with the provisions of this Section 10. The disputing party shall first give the other party written notice of the Dispute. The parties will attempt in good faith to resolve each Dispute within 30 days, or such other longer period as the parties may mutually agree, following the delivery of such notice, by negotiations between designated representatives of the parties who have dispute resolution authority.

10.3. Choice of Forum for Disputes. PLEASE READ THIS PROVISION CAREFULLY. If a Dispute cannot be resolved or settled under the procedures and within the timeframe set forth in Section 10.2, THEN EITHER PARTY MAY SOLELY AND EXCLUSIVELY BRING AN ARBITRATION ACTION OR PROCEEDING TO RESOLVE OR SETTLE THE DISPUTE IN ACCORDANCE WITH THIS SECTION. DISPUTES SHALL BE SUBMITTED TO FINAL, BINDING ARBITRATION ADMINISTERED BY AMERICAN ARBITRATION ASSOCIATION (“AAA”). ARBITRATION WILL BE CONDUCTED UNDER THE AAA’S PUBLISHED COMMERCIAL ARBITRATION RULES. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. You and Uniti each agree to bear their own fees, costs, and expenses, including those for any attorneys, experts, and witnesses. The place of arbitration shall be in Pulaski County, Arkansas U.S.A. The language of the arbitration shall be English.

10.4. Injunctive Relief. Nothing in this Section 10 will be construed to preclude Uniti from seeking provisional remedies, including but not limited to temporary restraining orders and preliminary injunctions from any court of competent jurisdiction in order to protect its rights at any time. In addition and notwithstanding the foregoing, Uniti shall be entitled to take any necessary legal action at any time, including without limitation seeking immediate injunctive relief or other equitable relief from a court of competent jurisdiction, in order to protect Uniti’s and it’s supplier’s, partner’s, or licensor’s intellectual property and confidential or proprietary information (including but not limited to trade secrets), and no bond or security of any kind will be required with respect to any such injunction or order.

10.5. Actions on Disputes between the parties with respect to the TOU must be brought in accordance with this Section 10 within two years after the cause of action arises.

11. Registration and Access to Password(s) Protected/Secure Areas.

11.1. Prior to gaining access to certain services on the Websites, including E-Mail access, Uniti may require you to provide certain registration details or other information, including but not limited to email addresses, and set up a user name and password(s) (“Password(s)”) as set forth in the account registration procedures posted on the Websites. It is a condition of your use of the Websites and all services accessed through the Websites, that all the information you provide will be correct, current and complete and that you promptly update your registration information as needed. Any user names and Password(s) used for the Websites are for individual use only. You may not use another user’s or customer’s account. You agree to comply with the procedures specified by Uniti from time to time regarding obtaining and updating Password(s) for the Websites. You agree to assume sole responsibility for all activities that occur under your account and for the security of Password(s) issued to you. Password(s) are subject to cancellation or suspension by Uniti at any time, including upon the misuse of the account or breach of the TOU. You agree to ensure that you will use your best efforts to prevent any third party from obtaining your Password(s), and you shall inform Uniti immediately in writing of any actual or potential unauthorized use of, breach or access to a user name, Password(s), account or to the Websites.

11.2. Access to and use of Password(s) protected and/or secure areas of the Websites is restricted to authorized users only. You are prohibited from taking any action to circumvent or attempt to circumvent the security and access control measures of the Websites. Such prohibited conduct includes, without limitation, any efforts to: (a) log in to an account with a Password(s) not assigned to you; (b) access personal data not intended for you; (c) test the security measures on the Websites and/or attempt to identify system vulnerabilities; (d) impersonate any other user of the Websites or forge any of the header information in any posting or tamper with the TCP/IP packet header; (e) modify, reverse engineer, disassemble, decompile or otherwise attempt or allow others to attempt to discover the underlying computer code for the Websites; or (f) overwhelm or disable the Websites or interfere with the access and use of the Websites by any other user. If you become involved in any violation of system or Websites security, Uniti reserves the right to release your details to system administrators or third parties at other sites in order to assist them in resolving security incidents.

11.3. Unauthorized individuals attempting to access Password(s) protected and/or secure areas of the Websites may be subject to prosecution. Uniti reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing Uniti to disclose the identity of anyone attempting to access or accessing without authorization Password(s) protected and/or secure areas of the Websites, posting any Third Party Content or other messages or content, or publishing or otherwise making available any materials that are believed to violate the TOU. BY ACCEPTING THIS AGREEMENT YOU WAIVE AND HOLD HARMLESS UNITI FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER UNITI OR LAW ENFORCEMENT AUTHORITIES.

12. Data Privacy.

12.1. You agree that you shall comply in all respects with all applicable data protection laws and regulations (or any legislation or regulations amending or replacing the same) (together, the “Data Protection Laws”).

12.2. You shall in connection with the TOU (i) not do or permit anything to be done through an act or omission which might cause Uniti liability under Data Protection Laws; and (ii) enter into such agreements as Uniti shall reasonably require in relation to the cross border migration of personal data.

12.3. WHEN YOU SUBMIT PERSONAL DATA TO UNITI ON THE WEBSITES OR WHEN REGISTERING FOR THE WEBSITE, UNITI MAY TRANSFER AND/OR RETAIN THE PERSONAL DATA YOU SUBMITTED TO A COUNTRY OUTSIDE THE COUNTRY IN WHICH YOU ARE LOCATED OR FROM WHERE SUCH PERSONAL DATA WAS COLLECTED, WHICH MAY NOT HAVE THE SAME OR EQUIVALENT DATA PRIVACY PROTECTIONS. IF YOU DO NOT APPROVE OF SUCH TRANSFER AND/OR RETENTION, DO NOT SUBMIT PERSONAL DATA TO UNITI.

12.4. Access to the Websites is subject to Uniti’s Privacy Policy, found at https://uniti.com/legal.

13. Tools. All Uniti and third party support tools accessible through the Websites are made available on a revocable, limited license basis by Uniti or its suppliers to prospective customers of and customers purchasing certain of Uniti’s product and services or support offers. You are advised that such tools may contain diagnostic capabilities that allow Uniti, authorized Uniti partners, and authorized customer administrators to capture packets, run diagnostics and scripts, capture key-strokes and information from endpoints (including contact lists), transfer files, share screens and applications, chat, log and record sessions, and otherwise remotely access, control, reboot, and monitor end-user devices. You are responsible for enabling these diagnostic capabilities, for ensuring your users are aware of activities or potential activities and for compliance with any legal requirements with respect to use of such tools and diagnostic capabilities on its network, including, without limitation, compliance with laws regarding notifications regarding capture of personal data, call recording and wiretapping.

14. Software License Terms. Any software you download from the Websites (including Tools) shall be licensed pursuant to the (1) original agreement under which the applicable software was licensed to you by Uniti, or (2) terms and conditions made available to you when you download or install the software. Uniti in its sole discretion may from time to time post a successor version of the applicable Uniti End User License, which will then automatically replace the previously applicable Uniti End User License with respect to licenses granted as from the date of posting.

Kenny Gunderman is president and chief executive officer of Uniti Group Inc. He has 20 years of experience in the telecommunications industry and is focused on growing Uniti’s real estate portfolio of mission critical communications infrastructure. He has prior experience at Stephens, Lehman Brothers and KPMG. He currently serves on the board of the Arkansas Game and Fish Foundation, the Hendrix College Board of Trustees, and the NAREIT Board of Governors. Gunderman holds a Bachelor of Arts degree from Hendrix College and an MBA from Yale.

Paul Bullington

Paul Bullington

Paul Bullington is the chief financial officer and treasurer of Uniti Group Inc., previously serving as senior vice president of Strategic Operations for Uniti Fiber. Until its acquisition by Uniti in 2017, he served as the CFO of Southern Light, a position he held since the company began operating in 2001. During his time as CFO, the company was named one of the “5,000 Fastest Growing Companies in America” by Inc. Magazine for nine consecutive years.

Bullington also has prior experience at Accenture and Royal Cup Coffee. He currently serves on the board of Eastern Shore Repertory Theatre and is a former director of First Community Bank in Alabama. Bullington holds a Bachelor of Science degree from Birmingham-Southern College and an MBA from The University of Chicago Booth School of Business.

Daniel Heard
EVP - General Counsel and Secretary
Daniel Heard

Daniel Heard is an executive vice president, general counsel and secretary for Uniti. Heard is responsible for the company’s legal affairs and corporate governance.

Heard previously was a partner in the law offices of Kutak Rock LLP in Little Rock, Arkansas.

At Kutak Rock, Heard represented public companies in corporate, securities and merger and acquisition transactions. His clients comprised a wide range of industries, including telecommunications, information technology and food processing. He has extensive experience in negotiating, structuring and consummating mergers and acquisitions, public offerings of debt and equity securities and other corporate finance transactions.

Heard graduated from the William H. Bowen School of Law at the University of Arkansas at Little Rock and has a Bachelor of Arts from the University of Central Arkansas.

Michael Friloux
EVP - Chief Technology Officer
Michael Friloux

Michael Friloux is an executive vice president and the chief technology officer of Uniti. He has over 30 years of telecommunications and information systems technology experience and is focused on future proofing Uniti’s information technology systems.

Friloux previously was chief executive officer and president of PEG Bandwidth where he led the wireless backhaul provider through a time of rapid expansion serving 2,400 cell towers over a 15,000 route mile network through 16 states.

Prior to joining PEG Bandwidth, Friloux served as president and chief operations officer for Citynet Fiber Networks where he developed the company into a leading regional wholesale carrier network spanning 13 states and 8,000 route miles.

Friloux started his career as a software engineer for Sabre Computer Services (American Airlines.)

He holds a Bachelor of Science degree from Oklahoma State University.

Jennifer Ragsdale

Jennifer Ragsdale

Jennifer Ragsdale is senior vice president and chief administrative officer at Uniti, a Certified Great Places to Work company. Ragsdale oversees Uniti’s customer experience management, human resource efforts, diversity and inclusion programs, and leads execution strategy to create a culture of high performance.

Prior to joining Uniti, Ragsdale spent more than a decade in the human resources field, building and executing programs to drive operation strategies and organizational transformation.

Ragsdale is a certified professional in Human Resources (PHR), a SHRM certified Human Resources Professional (SHRM-CP) and is certified in Diversity and Inclusion in HR Management. Ragsdale previously served as the president of the Central Arkansas Human Resources Association. She holds a Bachelor of Arts degree from the University of Central Arkansas.

Ric Chura
SVP - Chief Information Officer
Ric Chura

Ric Chura is the senior vice president and chief information officer for Uniti. He previously served as Vice President of Information Technology at PEG Bandwidth, which was acquired by Uniti in 2016. He is responsible for setting Uniti’s cybersecurity strategy, technology governance and compliance and has led the integration of the multitude of companies acquired by Uniti.

Chura has over 20 years of experience in telecommunications industry working at Cap Gemini Ernst & Young, Predictive Systems, Callisma and FiberTower, a startup telecommunications backhaul provider. He has completed the Program on Negotiation from Harvard University and holds a Bachelor of Science, Mechanical Engineering degree from Iowa State University.

Ronald J. Mudry
SVP - Chief Revenue Officer
Ronald J. Mudry

Ron Mudry is Chief Revenue Officer of Uniti Group Inc. and President of Uniti Leasing. In this role, Mudry is responsible for Uniti’s growth opportunities across its fiber and wireless infrastructure segments. He is also responsible for Strategy and Corporate Development.

Mudry leads Uniti’s sales and business development initiatives which include providing fiber based services to wireless carriers, wireline carriers, hyperscalers, content companies, cable MSOs and other wholesale customers. Mudry previously served as President of Sales and Business Development at Uniti Fiber.

Mudry has over 30 years of experience in the telecommunications industry and was the founder of two start-up fiber operating companies that grew to become leaders in their industry segment. He joined Uniti in 2016 following the acquisition of Tower Cloud, a company he founded in 2006, that was a leader in fiber, small cell and cell site backhaul services in the Southeast, U.S. Earlier in his career, he founded Progress Telecom (formed in 1998) and before that spent 15 years with GTE Corporation (now Verizon) where he held key management positions in finance, sales and marketing, international operations, treasury, strategic planning, and mergers and acquisitions.

Mudry serves on the Board of Directors and Executive Committee of INCOMPAS, a telecommunications industry association.

Mudry holds a Bachelor of Science degree with a major in finance from the University of Michigan and an MBA from the University of Tampa.

Travis Black
VP - Chief Accounting Officer
Travis Black

Travis Black is the chief accounting officer of Uniti Group Inc. In his current role, Travis leads a team of over 40 employees and is responsible for the company’s financial accounting, external reporting and financial compliance activities. Additionally, Travis oversees the company’s technical accounting matters, including merger and acquisition transactions and critical accounting estimates.

Travis has been with Uniti Group since 2015, and previously served as the Director of Financial Reporting. He began his career at FedEx, and he has over 18 years of experience in financial accounting and reporting for public companies. Travis holds a Bachelor of Science degree in Business Administration from the University of Tennessee and an MBA from the University of Memphis. He is also a Certified Public Accountant.

Andy Newton

Andy Newton

Andy Newton is president of Uniti Fiber where he stewards Uniti’s efforts to design, build and operate its fiber network infrastructure.

Newton was the co-founder of Southern Light, and for the previous 19 years served as its president and chief executive officer where he led the overall operations, strategic guidance and culture of the company. Under his direction, Southern Light grew to become one of the top 10 largest pure fiber optic providers in the country.

Newton received an Economics degree from Birmingham Southern College and enjoys providing leadership to non-profits that focus on education and community planning and development.

Bill DiTullio
Vice President - Investor Relations
Bill DiTullio

Bill DiTullio has over 10 years of investor relations experience, joining Uniti’s investor relations team in 2017. Bill was promoted to Vice President of Investor Relations and Finance in August of 2019. Bill originally joined Uniti through the acquisition of PEG Bandwidth in 2016, and has held several various finance roles within the organization. Prior to joining the Company, Bill served as Sr. Investor Relations Analyst at Comcast Corporation. Before that, Bill worked as an associate equity analyst at Boenning & Scattergood. Bill began his early career working for Prudential Financial in several accounting and finance roles.

Bill holds a Master of Business Administration degree from Temple University and a Bachelor of Science degree in finance and accounting from Villanova University.
